IN NO EVENT WILL THE AGGREGATE LIABILITY OF OASIS IOI ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE EXCEED ONE HUNDRED U.S. DOLLARS (US$100). THE FOREGOING LIMITATIONS APPLY WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

10. Indemnification

You agree to defend, indemnify, and hold harmless Oasis IOI, its affiliates, and its and their respective directors, officers, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site, including any use of the Site's content other than as expressly authorized in these Terms.

11. Termination

We may terminate or suspend your access to the Site at any time, without prior notice or liability, for any reason, including if we believe you have violated these Terms. Upon termination, your right to use the Site will immediately cease. The provisions of these Terms that by their nature should survive termination shall survive, including Sections 5 (Intellectual Property), 6 (Feedback), 8 (Disclaimer), 9 (Limitation of Liability), 10 (Indemnification), and 12 (Governing Law).

12. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or relating to these Terms or the Site shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles. You agree that any legal action or proceeding arising out of or relating to these Terms or the Site shall be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction and venue of such courts.

13. Miscellaneous

These Terms constitute the entire agreement between you and Oasis IOI regarding the Site and supersede all prior agreements and understandings, whether written or oral. If any provision of these Terms is held to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect. Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent; any attempted assignment without such consent will be void. We may freely assign these Terms.
